Terms of Service

These Terms of Service ("Terms") govern your use of Neatrepo ("Neatrepo," "we," "us") and any subscription, ticket, or service purchased through neatrepo.com. By subscribing, submitting a ticket, or otherwise using the service, you agree to these Terms. If you don't agree, please don't use Neatrepo.

1. What Neatrepo is

Neatrepo is a subscription development service. You submit tickets (feature builds, bug fixes, integrations, and similar work) through a shared Trello board, and we design, build, and deploy the work. Neatrepo is operated as a one-person dev shop. Neatrepo does not employ other developers or subcontract ticket work to third parties.

2. Subscriptions and billing

Subscriptions are billed monthly on a 31-day cycle at the price shown at checkout. Payments are processed by our third-party payment processor, Dodo Payments; we do not collect or store your full card details ourselves. Prices, including any founding-member or promotional pricing, may change for future billing cycles with reasonable notice.

Pausing

You can pause your subscription at any time. Unused days from a billing cycle are banked and carried forward to when you unpause; banked days do not expire. Pausing stops future billing until you resume.

Cancelling

You can cancel at any time. Cancelling stops future billing at the end of your current cycle. Work already in progress at the time of cancellation will be completed or handed off in its current state, at our discretion.

Refunds

If Neatrepo isn't the right fit, you can request a refund of 75% of your payment within the first seven (7) days of a new subscription, no questions asked. After the first seven days, we don't issue refunds for that billing cycle, since work has typically already started or been delivered.

3. Free trial tickets

We offer one free trial ticket per person or company, limited to small tickets (roughly up to two hours of work). Free trial tickets are provided at our discretion and may be declined or limited if abused (for example, repeated submissions to avoid subscribing).

4. Tickets and how work is delivered

Once subscribed, you can add as many tickets to your queue as you'd like; tickets are delivered one at a time in the order you prioritize them. Every ticket includes the underlying system design (schema, API design, and relevant trade-offs), the implementation, and deployment, not just raw code. Larger tickets are broken into pieces and delivered incrementally, typically every 24 to 48 hours, until complete. Revisions are unlimited until you're satisfied with the delivered ticket.

5. What's out of scope

Neatrepo is built around a specific stack (React, Next.js, Node.js, Supabase, PostgreSQL, and TypeScript) and does not cover:

• Native mobile app development (iOS, Android, or React Native)
• DevOps or infrastructure work outside standard deployment
• Machine learning model training or ML pipelines
• Custom payment gateway integrations beyond Stripe Checkout
• Custom authentication systems beyond Supabase Auth
• Formal compliance work (e.g. HIPAA, SOC 2, or GDPR audits)
• Major rewrites of large legacy codebases outside our stack

If a ticket falls outside this scope, we'll let you know and suggest an alternative where we can.

6. Ownership of code

You own the code we write for you. From the moment a ticket is marked complete, all code delivered under that ticket is yours, with no licensing fees and no ongoing dependency on Neatrepo. Neatrepo retains no rights to your codebase beyond what's needed to deliver the ticket itself.

7. Confidentiality and NDAs

We treat everything you share with us (code, credentials, business details) as confidential, whether or not a formal agreement is in place. We're happy to sign a mutual NDA before starting work; just ask and we'll send one over at no extra charge.

8. Acceptable use

You agree not to use Neatrepo to request work that is illegal, infringes on someone else's rights, or is intended to harm, deceive, or defraud others. We reserve the right to decline any ticket, and to suspend or terminate a subscription, if we reasonably believe it violates this section.

9. Third-party services

Delivering Neatrepo involves a small number of third-party tools: Trello for ticket management, Calendly for scheduling calls, and Dodo Payments for billing. Your use of those tools alongside Neatrepo is also subject to their own terms.

10. Disclaimers and limitation of liability

Neatrepo is provided on an "as is" and "as available" basis. We work carefully and stand behind what we build, but we don't guarantee that the service will be uninterrupted, error-free, or fit for every specific purpose. To the maximum extent permitted by law, Neatrepo's total liability arising from your subscription is limited to the amount you paid us in the three (3) months before the claim, and we are not liable for indirect, incidental, or consequential damages.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where practical, let active subscribers know by email. Continuing to use Neatrepo after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law principles.
